Terms of Service

1. Introduction

Welcome to VidRoute ("we", "us", "our"), a product operated by TribeMingle. VidRoute is a video-first platform that enables creators ("Sellers") to sell digital products through shareable video sales pages, and enables purchasers ("Buyers") to discover, pay for, and receive those products.

By accessing or using VidRoute at vidroute.co (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create a Seller account. Buyers must be at least 16 years old or have parental consent. By using the Platform you represent that you meet these requirements.

3. Accounts

Sellers must register an account with a valid email address and password. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at support@vidroute.co if you suspect unauthorised use.

Buyers do not need an account to make a purchase. A valid name and email address are required at checkout so we can deliver the product and send a receipt.

4. Seller Obligations

As a Seller you agree to:

• Sell only digital products and content you have the legal right to distribute.
• Provide accurate descriptions, pricing, and delivery for every product.
• Comply with all applicable laws in your jurisdiction, including consumer protection, tax, and export-control regulations.
• Deliver the purchased product promptly after a successful payment — via file download, external link, or manual delivery as specified in your product listing.
• Not sell products or services that fall within the prohibited or restricted categories of our payment providers, including Stripe's Prohibited & Restricted Businesses list and Flutterwave's acceptable use policies.

5. Prohibited Products and Activities

The following are strictly prohibited on VidRoute:

• Illegal goods, services, or content of any kind.
• Adult, sexually explicit, or pornographic content and services.
• Gambling, lotteries, sweepstakes, or games of chance with monetary prizes.
• Counterfeit goods or content that infringes on intellectual property rights (copyrights, trademarks, patents).
• Drugs, controlled substances, drug paraphernalia, or cannabis products.
• Weapons, explosives, or dangerous materials.
• Pyramid schemes, multi-level marketing, "get rich quick" schemes, or any deceptive business practices.
• Financial products and services (lending, debt collection, money transmission) without appropriate licensing.
• Content that promotes violence, hatred, discrimination, or harassment based on race, religion, gender, sexual orientation, disability, or any other protected characteristic.
• Fake testimonials, misleading claims, or deceptive marketing practices.
• Any product or service prohibited by Stripe or Flutterwave's acceptable use policies.

We reserve the right to remove any product listing, suspend, or terminate any Seller account that violates these prohibitions, without prior notice.

6. Payments, Fees, and Payouts

VidRoute does not charge monthly subscription fees. We earn a transaction fee on each successful sale, which varies by payment provider and currency. Full details are available on our Payouts & fees page.

Payments are processed through third-party providers: Flutterwave (for African and select currencies) and Stripe Connect (for international payments). By using the Platform, you agree to be bound by the terms of service of the applicable payment provider.

Sellers may enable "pass fees to buyers" in their settings, which adds the platform fee on top of the product price at checkout.

Payouts for Flutterwave transactions are processed within 1–5 working days to the bank account connected in your settings. For Stripe, payouts are managed directly by Stripe and deposited according to their payout schedule.

We are not responsible for delays, holds, or failures in payouts caused by third-party payment providers, banking institutions, or compliance requirements.

7. Buyer Terms

All sales of digital products on VidRoute are final unless the Seller specifies otherwise in their product listing. VidRoute does not offer refunds directly; refund requests should be directed to the Seller.

By completing a purchase, you authorise the charge to your selected payment method. You will receive a receipt and product delivery via the email address provided at checkout.

8. Intellectual Property

Sellers retain all intellectual property rights in the products they sell. VidRoute does not claim ownership over Seller content, including videos, product descriptions, or digital files.

The VidRoute name, logo, and platform design are the property of TribeMingle. You may not use our branding without prior written permission.

If you believe content on VidRoute infringes your intellectual property rights, contact us at support@vidroute.co with details of the alleged infringement.

9. Content and Conduct

Sellers are solely responsible for the content they upload, including sales videos, product descriptions, testimonials, and delivery files. VidRoute does not pre-screen content but reserves the right to review and remove any content that violates these Terms.

You agree not to upload or transmit any viruses, malware, or harmful code through the Platform.

10. Account Termination

We may suspend or terminate your account at any time if you violate these Terms, engage in prohibited activities, or if required by our payment providers or legal obligations. Upon termination, your product listings will be removed, and any pending payouts will be processed according to the applicable payment provider's policies.

You may delete your account at any time by contacting support@vidroute.co.

11. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free, or secure operation of the Platform.

VidRoute is a marketplace platform. We are not a party to transactions between Sellers and Buyers, and we do not guarantee the quality, legality, or delivery of any product sold on the Platform.

12. Limitation of Liability

To the maximum extent permitted by law, VidRoute and TribeMingle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising from your use of the Platform.

Our total aggregate liability for any claim arising from or relating to these Terms or the Platform shall not exceed the total fees paid by you to VidRoute in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless VidRoute, TribeMingle, and their officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Platform, your content, your products, or your violation of these Terms.

14. Modifications

We may update these Terms from time to time. We will notify registered Sellers of material changes via email. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

TribeMingle is registered in Nigeria and the United States. These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Nigeria, unless you are located in the United States, in which case disputes shall be governed by the laws of the State of Delaware and resolved in the courts of Delaware.
